PRICES: Prices are subject to change without notice. Prices listed are wholesale for approved buyers and exclude freight, taxes, insurance, and other costs.

APPROVED BUYERS: All wholesale customers must be approved by the Nancy Thomas Gallery before they place their initial order.

TERMS: All initial orders are shipped COD or prepaid by credit card (Visa, MasterCard, American Express or Discover). A reseller's tax exempt certificate is required with first order. Customers may apply for net 30 day terms by filling out financial information and attaching typed credit reference sheet. Buyer grants to seller and seller retains security interest in merchandise until full payment is made. In the event payment is not received according to terms, seller may at its discretion assess interest at the rate of 1.5% per month or the maximum rate allowed by law, whichever is lower. Checks returned for NSF or Stop payment will be subject to a $30.00 charge. Late payment or unauthorized deductions from invoice will result in reinstatement of COD terms. Non-stocking customer's orders (i.e. interior designers) are subject to 20% surcharge.

SHIPPING: Unshippable items are automatically back ordered unless otherwise specified. Mis-shipments or damages must be reported to the Nancy Thomas Gallery within 15 days of receipt in order to be considered for credit.

EXCHANGES: Return of any goods for stock-balancing reasons must have approval of the Nancy Thomas Gallery Sales manager. Items must be in perfect condition and in the current line. All returns for credit will be subject to a 20% restocking fee and will be shipped to the Nancy Thomas Gallery at the customers expense.

ACCEPTANCE: Acceptance or merchandise from seller constitutes acceptance of terms of sale. Any additional or conflicting terms from buyer are void unless accepted in writing by the seller.

LIABILITY: Seller shall not be liable for failure to deliver or delays in delivery occasioned by strikes, lockouts, fires, Acts of God, inability to obtain materials or shipping space, breakdowns, delays of carriers or suppliers, government acts and regulations or other causes beyond Seller's control. Seller's liability shall be limited to the stated selling price of any defective goods, and shall in no event include buyer's costs, lost profits or goodwill, or any other special or consequential damages.

COPYRIGHTS: All products sold by the Nancy Thomas Gallery are Nancy Thomas exclusive copyrighted and/or trademarked designs. These designs may not be reproduced or copied for commercial use unless the buyer is under licensing agreement with the seller.

SALES REPRESENTATIVES: Seller's Sales Representatives are not employees of seller, but rather are independently contracted to seller to obtain orders for seller's products. Seller is not liable for Sales Repressnetative's actions, nor should they be construed as agents of the seller. All ordered are subject to acceptance by the seller at the home office in Yorktown, VA.

WARRANTIES: Except as otherwise expressly stipulated herein, the seller gives no warranty, expressed or implied as to description, quantity, merchantability, fitness for any particular purpose, productiveness, or any other matter, of any merchandise which the seller shall supply. The seller shall in no way be responsible for the proper use and service of the merchandise. Seller shall not be liable for normal manufacturing defects or customary variance from specifications. No other warranty is given, and no affirmation of the seller or is sales representatives by work or action shall constitute a warranty.
